Terms of Service

§ 1 Scope
These General Terms and Conditions (Terms) apply to the use of the ProcesOS platform operated by tech reform GmbH, Niederurseler Allee 8-10, 65760 Eschborn, Germany (hereinafter "Provider"). By registering for and using the platform, the user agrees to these Terms. Deviating terms of the user are not recognized unless the Provider expressly agrees to their validity in writing.
§ 2 Registration and User Account
Use of the platform requires registration. The user is obligated to provide truthful and complete information during registration and to update this information promptly in the event of changes. Access credentials must be kept confidential and must not be shared with third parties. The user is liable for all activities carried out through their account. The minimum age for registration is 18 years.
§ 3 Service Description
ProcesOS is a cloud-based platform for business process management. Its features include a BPMN diagram editor, AI-assisted tools, workspace management, governance tools, a Global Technology Tree, and collaboration features. The specific range of features depends on the selected subscription tier.
§ 4 Subscriptions and Pricing
ProcesOS is available in various subscription tiers, including a free basic tier and paid tiers with extended features. Current prices are listed on the website. The Provider reserves the right to adjust prices with 30 days' notice before the next billing period. Existing subscriptions continue at the agreed price until the end of the current billing period.
§ 5 Payment Terms
Payment processing is handled by the payment service provider Stripe. By subscribing to a paid plan, the user agrees to Stripe's terms of service. Subscriptions are billed monthly or annually in advance and renew automatically unless cancelled in time. In the event of payment default, the Provider may restrict access to the platform.
§ 6 Availability
The Provider strives for the highest possible availability of the platform but does not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. Temporary restrictions due to maintenance, development, or force majeure do not give rise to claims by the user.
§ 7 Data Protection and Data Processing
Personal data is processed in accordance with our Privacy Policy and applicable data protection laws, in particular the GDPR. Business customers who process personal data through the platform may enter into a separate Data Processing Agreement (DPA) pursuant to Art. 28 GDPR.
§ 8 Intellectual Property
All rights to the platform, its software, design, and associated content belong to the Provider or its licensors. The user is granted a simple, non-transferable right of use for the duration of the contractual relationship. Content created by the user (diagrams, process descriptions, etc.) remains the property of the user. The user grants the Provider the rights of use necessary to provide the service.
§ 9 Limitation of Liability
The Provider is liable without limitation for intent and gross negligence. In cases of slight negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable, contract-typical damage. Liability for indirect damages, consequential damages, and lost profits is excluded in cases of slight negligence. The foregoing limitations of liability do not apply to damages arising from injury to life, body, or health.
§ 10 Cancellation
Free accounts may be terminated at any time by deleting the user account. Paid subscriptions may be cancelled at the end of the respective billing period. Cancellation can be made via account settings or by email to [email protected]. The right to extraordinary termination for good cause remains unaffected.
§ 11 Right of Withdrawal for Consumers
Consumers as defined by § 13 BGB (German Civil Code) have the right to withdraw from the contract within 14 days without giving reasons. The withdrawal period is 14 days from the date of the contract. To exercise the right of withdrawal, an informal notice to [email protected] is sufficient. In the event of a valid withdrawal, payments already made will be refunded promptly.
§ 12 Amendments to the Terms
The Provider reserves the right to amend these Terms with 30 days' notice. The amended terms will be communicated to the user by email. If the user does not object within 30 days of receiving the notification, the amended Terms shall be deemed accepted. The significance of silence will be specifically noted in the amendment notification.
§ 13 Governing Law and Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Frankfurt am Main, provided the user is a merchant, a legal entity under public law, or a special fund under public law. For consumers, the statutory provisions on jurisdiction apply.
§ 14 Severability
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provision, a valid provision shall be deemed agreed that comes closest to the economic purpose of the invalid provision.
